2. Service Description
The Site is an informational platform presenting the digital transformation consulting services offered by Belorum. Through the Site, visitors can:

The engagement of professional consulting services is formalized through independent agreements between Belorum and the client, which establish the scope, conditions and specific obligations of each project.
3. Professional Service Delivery
Belorum consulting services may include, among others:
Virtual or in-person work meetings with the client and their team
Diagnostics, analysis and recommendations on processes, technology and infrastructure
Design and implementation of technology solutions
Support and training for the client's team
3.1 Meeting recordings and transcriptions
In order to ensure service quality, document agreements and facilitate project follow-up, Belorum may record work meetings (audio and/or video) and generate transcriptions thereof. In all cases:
Participants will be notified at the beginning of each meeting about the recording
Any participant may request that a specific meeting not be recorded
Recordings and transcriptions will be used exclusively for project purposes
Access to recordings will be restricted to the team assigned to the project
Recordings will be stored securely and deleted upon termination of the contractual relationship, unless otherwise agreed with the client
3.2 Access to client information
During service delivery, Belorum may require access to client information, including methodologies, internal processes, physical and technological infrastructure, and other information necessary for project development. The client will determine the scope and level of access granted.
4. Confidentiality
Belorum acknowledges that in the exercise of its professional services it may have access to confidential and/or privileged client information. Accordingly:
All information shared by the client within the scope of a project will be treated as confidential, unless the client expressly indicates otherwise
Belorum will not disclose, share or use the client's confidential information for purposes other than the contracted service
Confidentiality obligations extend to all Belorum collaborators and subcontractors participating in the project
When the nature of the project requires it, the parties may formalize specific non-disclosure agreements (NDAs) with additional conditions
The confidentiality policies applicable to each project will be those agreed between the parties, considering the nature and sensitivity of the information involved
Confidentiality obligations survive the termination of the contractual relationship for the period agreed between the parties or, failing that, for a reasonable period.
5. Nature of Recommendations
The consulting services provided by Belorum are exclusively advisory and guidance-oriented. The recommendations, reports, diagnostics, designs and other deliverables provided constitute professional opinions based on the information available at the time of their preparation.
Belorum does not guarantee specific results from the implementation of its recommendations. Final results depend on multiple factors, including but not limited to:
Correct implementation by the client or third parties designated by the client
The accuracy and completeness of the information provided by the client
Current market, regulatory and technological conditions
Business decisions made by the client
External factors beyond the control of both parties
The decision to implement any recommendation is the sole responsibility of the client.
6. Client Obligations
For the proper delivery of consulting services, the client commits to:
Provide truthful, complete and timely information necessary for project development
Designate a point of contact or responsible team for project coordination
Facilitate access to the systems, tools, documentation and infrastructure needed, as agreed
Provide timely feedback on deliverables and project progress within agreed deadlines
Promptly inform of any changes in requirements, scope or conditions that may affect project development
Comply with payment deadlines and other obligations established in the service agreement
Ensure that it has the necessary authorizations to share the information provided to Belorum
Failure by the client to comply with these obligations may affect the deadlines, quality and scope of deliverables, without generating liability for Belorum.
7. Intellectual Property of Deliverables
7.1 Website intellectual property
All content on the Site, including but not limited to text, graphics, logos, images, design, source code and software, is the property of Belorum or its respective owners and is protected by applicable intellectual property laws.
Reproduction, distribution, modification or commercial use of the Site's content without prior written authorization from Belorum is prohibited.
7.2 Project deliverables
Unless expressly agreed otherwise in the specific service contract:
Deliverables developed specifically for the client within the scope of a project will be the property of the client once full payment for the services has been completed
Belorum retains intellectual property over its methodologies, frameworks, tools, templates, technical know-how and any pre-existing material used in service delivery
Belorum reserves the right to use the general knowledge, techniques and experience acquired during service delivery, provided it does not involve disclosure of the client's confidential information
The client grants Belorum a non-exclusive license to use the deliverables as internal reference and for the improvement of its services, without disclosing confidential information
7.3 Software and source code
When deliverables include software or source code:
Custom-developed code for the client will be delivered with the usage rights agreed in the service contract
Third-party libraries, components or tools included will be subject to their respective licenses
Belorum will not be responsible for the use, modification or maintenance of the source code after delivery
8. Limitation of Liability
8.1 Regarding the Site
The Site and its content are provided "as is" and "as available". Belorum does not guarantee that:
The Site will be available uninterrupted or error-free
The information on the Site is complete, accurate or up-to-date at all times
The Site is free of viruses or other harmful components
8.2 Regarding professional services
To the maximum extent permitted by applicable law:
Belorum' total cumulative liability for any claim related to a project shall not exceed the total amount of fees actually paid by the client for that project
Belorum shall not be liable for indirect, incidental, consequential, special or punitive damages, including but not limited to lost profits, data loss, loss of business opportunities or business interruption
Belorum shall not be liable for damages arising from the implementation of recommendations by the client or third parties
Belorum shall not be liable for delays or failures caused by the client's failure to comply with the obligations described in Section 6
The above limitations do not apply in cases of willful misconduct or gross negligence by Belorum.
9. Subcontracting
Belorum may subcontract all or part of the service delivery to specialized professionals or companies, provided that:
Subcontractors comply with the same confidentiality and quality obligations established in these Terms
Belorum maintains responsibility to the client for services provided by its subcontractors
The client is informed when subcontracting involves access to confidential project information
10. Force Majeure
Neither party shall be liable for failure or delay in fulfilling its obligations when such failure or delay is caused by force majeure or fortuitous events, including but not limited to:
Natural disasters, epidemics or pandemics
Armed conflicts, acts of terrorism or civil unrest
Widespread failures in telecommunications, electricity or internet services
Government actions, regulatory changes or embargoes
Cyberattacks or widespread computer security failures
The affected party must notify the other party within a reasonable period and take the necessary measures to mitigate the effects of the event. If the force majeure event persists for more than thirty (30) days, either party may terminate the contractual relationship without penalty.
11. Non-Solicitation of Personnel
During the term of the contractual relationship and for a period of twelve (12) months after its termination, neither party may, directly or indirectly, solicit, hire or attempt to hire employees, consultants or collaborators of the other party who have participated in the project, without the prior written consent of the affected party.
In case of breach of this clause, the infringing party shall compensate the other party as established in the corresponding service agreement.
12. Relationship Between the Parties
The relationship between Belorum and the client is that of an independent contractor. Nothing in these Terms or in the delivery of services creates an employment, partnership, joint venture, agency or representation relationship between the parties.
Each party is responsible for its own tax, labor and social security obligations. Belorum has no authority to assume obligations or commitments on behalf of the client, nor vice versa.
13. Dispute Resolution
The parties commit to resolving any dispute arising from these Terms or from the delivery of services as follows:
In the first instance, the parties will attempt to resolve the dispute amicably through direct negotiation within fifteen (15) business days following written notification of the dispute
If direct negotiation is unsuccessful, the parties will submit the dispute to a mediation process before a mutually agreed mediator, within thirty (30) business days
If mediation does not resolve the dispute, either party may resort to ordinary jurisdiction
These Terms of Use are governed by the laws of the Republic of Colombia. Any dispute that cannot be resolved through the above mechanisms shall be submitted to the jurisdiction of the competent courts of the city of Bogotá, Colombia.
14. Acceptable Use
By using the Site, you agree to:
Use the Site only for lawful purposes and in accordance with these Terms
Provide truthful and accurate information when using the contact form
Not attempt unauthorized access to the Site's systems or networks
Not use the Site to send malicious content, spam or offensive material
Not reproduce, duplicate or commercially exploit the Site's content without authorization

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Belorum operates under a flexible work model. Attending a physical office is not required for the provision of services.
While Belorum values in-person meetings as a means to strengthen collaboration and team connection, the company adapts to the needs of each collaborator, allowing remote work as the primary modality.
The specific conditions of the work modality (remote, hybrid or on-site) will be agreed individually between Belorum and each collaborator, depending on the nature of the project and the client's needs.
